TRAINING COURSES – TERMS OF SERVICE
ProcessQM LLC (“ProcessQM”, “Website”, “we”, “our” or “us”) offers training courses, including but not limited to instructor led courses, online courses and distance learning courses (each a “Course”) to interested individuals or companies (“Subscribers” or “you”) The following Training Courses- Terms of Service (“Training Terms”) bind you each time you subscribe to, or intend to subscribe to a Course offered by ProcessQM. If you do not agree to these Training Terms, please do not subscribe to any of our Courses.
Updates and Amendments. These Training Terms may be updated, reviewed or amended from time to time, at the sole discretion of ProcessQM. Material changes (if any) to these Training Terms will be indicated by notice on our home page. Subscription to any of the Courses listed on our Website, will thereafter constitute your deemed acceptance of the revised Training Terms.
Eligibility and Payment. To subscribe to any of our Courses listed on our Website, you will have to be at least 18 (eighteen) years of age. You can only subscribe to/ register for Courses from the ProcessQM Website. While subscribing to our Courses, you will be required to provide us with your personal details, including but not limited to your real name, email address, and contact information, billing information, and payment information. While paying for the Courses sought to be subscribed to, you will required to provide payment details, including credit card information, that you represent and warrant to be valid and correct. Your payment and identity information is extremely important to us and we take reasonable steps to ensure that our processing of your information is secure, and the details of payment and identity is confidential.
Prices and Description. The prices of Courses listed on our Website are in United States Dollars. ProcessQM reserves the sole right to make changes to the prices of the Courses or the description of the Courses listed on its Website, at any time, without prior notice to you. Gross Receipt Tax rate of Santa Fe county at 8.9375% is added to the Course price at the checkout.
Order Refusal. ProcessQM reserves the right to refuse your subscription or registration to a Course in certain circumstances, including but not limited to inability to process your payment, lack of available seats at the Course, or lack of enough material to provide you with the required training related documentation associated with the Course. ProcessQM also reserves the right to refuse your subscription or registration in case you do not meet the “Eligibility and Payment” criteria as mentioned in these Terms. Notwithstanding our acceptance of your subscription, we may terminate or suspend it, rendering the transaction void, if your payment details are invalid or lack funds or if there are suspicions of fraudulent activity. Refusal to process a subscription or registration remains the sole discretion of ProcessQM.
Course Sale and Processing. All Courses sold by ProcessQM are subject to availability and your meeting these Training Terms. In case the Course you are subscribing for is an instructor led Course, on confirmation of payment, you shall be issued an email confirmation attesting that you are allowed entry to the instructor led Course. A valid email confirmation has to be produced in order to gain admission to the instructor led Course. In case you are unable to produce the email confirmation, ProcessQM can deny you entry to the instructor led Course. In case the Course you are subscribing to is an online or a distance learning Course, after payment successful completion of the order, you shall receive further instructions through an email from ProcessQM. All orders placed while subscribing for our Courses are non-resaleable, and non-refundable (expect as mentioned in our “Cancellation and Refund Policy”).
Cancellation and Refund Policy. At ProcessQM, we value your time and make every effort to avoid cancellations. In case there arises a situation when the Course which the Subscriber has purchased has been cancelled or there is a material change in the subject matter or the description of the Course, the Subscriber is eligible for a complete or discounted refund from ProcessQM (after deducting any processing charges). A “material” change in such cases is a change which in ProcessQM’s opinion makes the Course materially different to what the purchaser could reasonably expect. A change in the instructor does not amount to a material change under these Training Terms.
For an instructor led course, in case an Course is rescheduled or relocated, and the Subscriber cannot attend the rescheduled date or the relocated venue, the Subscriber will be eligible for a complete or discounted refund from ProcessQM (after deduction of any processing charges). ProcessQM shall provide at least a three week cancellation notice to the Subscriber in case the Course is cancelled. Instructor led Courses of less than six (6) students are subject to cancellation or rescheduling. Cancellation notices are sent to the e-mail provided at the time of registration/ subscription for the Course.
In case a Subscriber wishes to cancel their registration, and notifies ProcessQM about cancellation at least forty-six (46) calendar days prior to start of the Course, ProcessQM will provide the Subscriber with a full refund or a full credit toward future ProcessQM Courses (after deducting any processing charges). In case the Subscriber notifies ProcessQM about cancellation between 31 and 45 calendar days prior to the start of the Course, ProcessQM will issue a discounted refund after charging a twenty per cent (20%) cancellation fee (and other processing charges). Refunds issued by ProcessQM in all cases, can also be taken as credit towards future ProcessQM Courses. ProcessQM shall not provide any refund or credit in case the Subscriber notifies ProcessQM about cancellation lesser than 31 days prior to the start of the Course. The Subscriber may, however, choose to send a replacement at no further charge.

Unless the Course has been cancelled or rescheduled as described above, in no case shall ProcessQM be liable to provide any refund because of the Subscriber’s inability or failure to attend the Course without notice, or any conflict the Course has with the Subscriber’s personal schedule. Subscribers are also requested to make travel arrangements to the Course venue at their own discretion, and ProcessQM is not responsible for any travel expenses incurred by enrolled Subscribers.
Refund Processing. In case the purchase has been made by card or any other online mode of transfer, the refund will be processed in exactly the same form as the payment was done. A refund can be rejected by the Subscriber within thirty days of receiving it, by notifying us. In case you do not notify us within the stipulated time, you will be deemed to have accepted the refund in full and final settlement of all claims and actions against us.
Limitation of Liability. Our liability to you is limited to the purchase price of the Course and ProcessQM does not accept liability for any indirect, special or consequential losses, including loss of profits, goodwill or other revenue. Liability for cancellation and rescheduling an Course will be limited to the refund stated in the Cancellation and Refund Policy. ProcessQM is also not liable for any theft, damage or loss to your personal belongings or property at the location of the Course.
Indemnity. You agree to indemnify ProcessQM, its service providers, affiliates, agents, directors, employees or suppliers and keep them indemnified against all loss, damages (including but not limited to direct, indirect, special, consequential, punitive or exemplary damages) or costs (including legal costs) arising from your subscribing to our Courses, your breaching these Training Terms, or any third party right, including intellectual property rights, your breaching any law, rule or regulation, or your failure to meet the Training Terms.
Intellectual Property. Unless expressly specified to contrary, the Courses, the training documentation and material (“Training Material”), text, graphics, logos and images associated with the Courses, including the arrangement of content, is the copyright of ProcessQM, and are protected by copyright, trademark and other intellectual property laws in the United States of America and other countries. The ProcessQM brand and the ProcessQM logo are registered trademarks of Process QM LLC, and cannot be reproduced, copied, imitated or used without our explicit written permission. The Training Material is strictly meant for your personal use and any reproduction, modification, copying or distribution of the Training Material, is expressly prohibited without written permission from ProcessQM. All rights are reserved by ProcessQM.
Severability. In case any provision in these Training Terms become unenforceable or partially unenforceable, wherever possible shall be severed as necessary to make these Training Terms enforceable, unless such severing materially changes these Training Terms.
Governing Law. These Training Terms will be governed in accordance with the laws in the State of New Mexico.
